Booking Holdings runs online travel and dining platforms, chiefly Booking.com, plus Priceline, Agoda, KAYAK and OpenTable. Travelers use them to find and book hotels, homes, flights, car rentals and attractions, and about 4.4 million accommodation properties (end-2025 count) and many restaurants pay to be listed and booked. [S2]
It earns commissions or margins on bookings, recognised when travel begins: merchant revenue where it collects payment ($17.8bn in 2025), agency commissions where the property collects ($8.0bn), and advertising and other fees, mainly KAYAK and OpenTable ($1.2bn). [S2]

Valuation and assumptionsBooking earns about a 35% operating margin by owning the traveler relationship for 4.4 million properties. The open question is whether AI agents from Google and Meta take that relationship, and the margin attached to it.
AI assistants that search, compare and complete purchases on a user's behalf, deciding which websites or suppliers receive the transaction.
In this report: Google AI Mode and Meta Muse began booking travel in 2026. They can route demand to Booking, charge it for placement, or bypass it, which is the widest uncertainty in this valuation.
If agents choose where hotel bookings land, Booking pays more for traffic or accepts lower commissions, and both move against it at once. No historical period shows how large that effect is.
Revenue divided by gross bookings: the share of the total amount travelers spend that the platform keeps as commission, margin and fees.
In this report: Booking's take rate has been stable near 14.5%. A sustained decline would be the first financial sign that AI agents or regulators are capturing part of Booking's economics.

Booking.com, Priceline, Agoda, KAYAK and OpenTable connect travelers with properties, airlines and restaurants. Revenue was about 14.5% of the $186bn booked in 2025, recognised at check-in. Marketing is the largest cost; customer prepayments fund working capital.

Cash travelers have prepaid for trips not yet taken, held as a liability until the stay occurs and the property is paid.
In this report: This float peaks in June ($10.1bn in 2026) and unwinds in summer, so June cash overstates what Booking can spend; it also explains why free cash flow exceeds net income.
At $163.03, with a 9.5% WACC and 35.5% margins, the price implies revenue growth near 3.4% fading below 2%, or margins near 29% on my growth path. That is close to my bear case.
A valuation model that works backward from a share price to find combinations of growth, margins, and other assumptions consistent with that price.
In this report: Solving the model for the current price shows the market is assuming growth or margins close to Booking's bear case.
The weighted average required return of a company's debt and equity providers, used to discount cash flows to the firm.
In this report: With 10-year Treasuries near 5%, a 50 bp change in the discount rate moves Booking's value by about $15 to $17 per share, as much as a point of annual growth.
Room-night growth: 5.3% in Q2 2026, guided 3% to 5% for Q3. Each sustained point of growth is worth about $16 per share.
Marketing as a share of gross bookings, 4.7% in Q2 2026: the clearest gauge of whether AI or Google raises acquisition costs. Each 20 bps moves value about $7.6 per share.
The sensitivity of operating profit to changes in revenue when some operating costs are fixed.
In this report: About a fifth of Booking's costs are fixed, so margins rise when bookings grow faster than personnel and technology costs; the Transformation Program adds to this.
Take rate, about 14.5% of gross bookings in 2025: shows whether Booking keeps its commission as distribution changes. Each 25 bps is worth about $7.7 per share.

Agents become a common starting point for hotel search; Booking pays for placement and loses homes share to Airbnb, so growth slows to about 3%, margins fall to 28%, and a European damages settlement is paid.

Contract terms requiring a hotel not to offer lower prices or better conditions on other channels, including its own website, than on the platform.
In this report: Booking used them in Europe from 2004 to 2024; over 10,000 hotels now seek damages in Amsterdam, a contingent liability not fully reflected in the accounts.
The Middle East drag fades, Booking partners with agents on terms similar to Google today, and cost savings offset reinvestment, keeping margins near 35.5% while growth fades from 7% to 3%.
AI expands travel discovery, Booking's supply makes it the preferred engine inside agents, direct mix rises, and growth returns to the 8% to 9% algorithm with margins near 39%.
Marketing as a share of gross bookings versus the prior-year quarter: flat or falling supports the thesis; up more than 30 bps for four quarters weakens it.
Terms of any Booking partnership with Google, Meta or OpenAI agents, especially whether Booking remains merchant of record.
In the merchant model the platform collects the traveler's payment and pays the property later; in the agency model the property collects payment and pays the platform a commission afterwards.
In this report: Booking has moved to 72.5% merchant bookings, which adds payments revenue and upfront cash but also processing costs; whether agents let Booking remain merchant of record matters for its economics.
Revenue by brand and by customer geography is not disclosed or was not obtained. The proxy statement was not read, so executive pay structure, incentive metrics and insider ownership are unverified. Revolver covenant terms were not read. Current valuation multiples for Expedia and Trip.com could not be verified. No company has disclosed the commercial terms of AI-agent hotel booking, so the size of any toll on Booking's margins cannot yet be estimated from evidence. The eventual size of European parity-clause damages cannot be estimated from available sources. A sourced global travel TAM for 2026 was not obtained.
