Uber is a good and rapidly improving asset-light marketplace compounder whose economics are primarily driven by terminal operating margin, the outcome of the autonomous vehicle transition, and the durability of gross bookings growth. Its principal competitive advantage is a combination of per-city two-sided network effects and a genuinely global cross-platform position - mobility and delivery in one app, where cross-platform users generate three times the gross bookings and profits at only 20% penetration - evidenced by 22% gross bookings growth to $58bn in the quarter, operating margin expanding in every year since 2022 to 13.9%, ROIC rising from 6.1% to 18.9% in four years, and capital expenditure of 0.5% of revenue. Its most important vulnerabilities are near-zero consumer switching costs, permanent regulatory exposure to driver classification and pay in every market it operates, a demand base that is discretionary and has never been tested through a recession while the company was profitable, and a supplier base about to concentrate from ten million individual drivers into a handful of autonomous fleet operators. Under the base case, mid-teens gross bookings growth with operating margin expanding from 14.5% toward 22% by 2034 and free cash flow reaching $24bn implies intrinsic value of approximately $105 per share versus a market price of $75.26. The investment therefore depends primarily on whether the four-year margin expansion continues, since the current price implies a terminal margin of 13 to 14 percent - essentially today's level held permanently - and on whether autonomous vehicles route through Uber's demand rather than around it. The most important evidence to monitor is non-GAAP operating income as a percentage of gross bookings, gross bookings growth in constant currency, autonomous vehicles committed to the network versus operators launching their own consumer applications, and the diluted share count.

This is the first Buy in this research series and I want to say why plainly. The previous five reports concluded Hold or Avoid, in each case because an outstanding business was priced for outstanding outcomes. Uber is the inverse: a good and rapidly improving business priced as though it has stopped improving. The stock is 26.7% below its 52-week high [S9] and near its 52-week low of $65.41 [S6], while gross bookings grew 22% and trailing free cash flow crossed $10bn for the first time [S2].
Why it is attractive. Gross bookings grew 22% year-over-year to $58.0bn in Q2, the fourth consecutive quarter above 20% [S2], with trips up 18%. Non-GAAP operating income rose 40% and non-GAAP EPS 35% [S1] — profits growing roughly twice as fast as bookings. Verified H1 operating income was $3.81bn on $27.39bn of revenue [V], a 13.9% margin against 10.7% for FY2025 [V]. Trailing free cash flow exceeded $10bn [S2]. The shares trade at roughly a 6.5% free cash flow yield [S7].
What the market may be misunderstanding. My reverse-DCF (§22) says the current price implies a terminal operating margin of roughly 13–14% — essentially today's level, with no further expansion ever. That is at odds with the observable trend: operating margin has gone 3.0% → 6.4% → 10.7% → 13.9% across FY2023, FY2024, FY2025 and H1 2026 [V], and non-GAAP operating income as a share of gross bookings rose to 3.7% from 3.3% a year ago [S1]. The market appears to be pricing an autonomous-vehicle disruption that has not appeared in any number.
The most important value driver. Terminal operating margin. The distance between 14% and 22% is worth roughly $37 per share [Est., §25].
The largest risk. Autonomous vehicles, and specifically whether Uber ends up as the demand aggregator for them or is disintermediated by AV operators going direct to consumers. Partners have committed approximately 120,000 vehicles to the Uber network [S2], which is evidence for the aggregator outcome — but it is a commitment, not a completed transition.
What must be true. That operating margin continues expanding toward the high teens as the platform scales; that AV economics route through Uber's demand rather than around it; and that the $14.8bn Delivery Hero acquisition [S4] earns its cost of capital rather than being an expensive answer to a delivery market where Uber is not the leader.
Cross-platform users generate 3× the gross bookings and profits, at 20% penetration [S10]. Neither Lyft nor DoorDash can replicate this without building the other business from scratch. This is the one advantage that is genuinely global rather than per-city, because the app and the membership travel with the user.
Pricing, matching and ETA prediction improve with volume. Real, but competitors have enough volume for adequate performance, and AI tooling is commoditising the underlying capability.
"Uber" is a verb. But consumers multi-home freely and switching cost is one app-open.
Partners have committed approximately 120,000 vehicles [S2]; Uber is on track to be live in 15 cities with AVs by year-end [S5]; Wayve has received Private Hire Vehicle licences in London [S2]; Pony.ai will supply 2,000 robotaxis in Europe [S6]. AV utilisation is running at mid-20s to low-30s trips per vehicle per day, which management says supports fleet-partner monetisation [S3].
The logic is that an AV fleet without demand is an idle asset, and Uber has the demand. The counter-logic is that a fleet operator with enough vehicles in one city can build its own demand and keep the whole margin. Both are live and §17 treats this as the widest uncertainty.
Consumers switch instantly. Drivers multi-app routinely. No meaningful patent moat. Regulation is a cost, not a barrier — though licensing regimes do raise entry costs in some cities.

Distinguishing the three types matters here, and the conclusion is unusual for this series. Business risk is moderate and mostly about AV. Financial risk is low — 0.35× leverage, $10bn free cash flow, falling share count. Valuation risk is negative — at 16.8× reported earnings and a 6.5% free cash flow yield [S6][S7], the multiple is a cushion rather than a hazard. In the five preceding reports in this series, valuation risk was the dominant risk. Here it is the margin of safety.

The SBC treatment is the key comparability note. Uber's headline non-GAAP operating income of $2.1bn [S1] adds back roughly $500M of quarterly SBC. My valuation uses the GAAP figure throughout. A DCF built on non-GAAP operating income would be roughly 3.5 points of margin more generous and would produce a materially higher value.
Growth vs reinvestment vs incremental ROIC — consistent, and genuinely so. I forecast bookings compounding in the mid-teens while capex stays near 0.5% of revenue [V]. That is not an assumption of rising returns without cause: Uber's growth genuinely does not consume capital, because drivers supply the vehicles and merchants supply the kitchens. Incremental ROIC was ~39% (FY2024→25) and ~55% (FY2025→H1 2026) [Est. from V]. This is the rare forecast where high growth and negligible reinvestment are economically compatible rather than a modelling convenience.
The AV caveat to that, stated rather than hidden. The above holds only if the AV transition stays asset-light. Management says it is structuring exactly that way [S2]. If Uber ends up funding vehicles itself, my capital-intensity assumption breaks and the base case is too high — I would be modelling a marketplace and valuing a fleet operator. That branch lives in the bear case, not the base.
Pricing vs volume vs market share — consistent. I assume volume-led growth with take rates roughly flat, matching the observed data (trips +18% against bookings +22% [S2]). A forecast assuming both rising volume and rising take rate in a regulated marketplace would be assuming two favourable outcomes with no mechanism connecting them.
Margins vs competitive intensity — this is where my forecast is most strained, and I want to name it. I hold terminal operating margin at 22%, well above today's 13.9%, while acknowledging localised competitive attacks [S3] and permanent regulatory pressure on driver pay. Those pull against each other. My defence is that margin expansion comes from fixed-cost leverage and cross-platform mix rather than from raising prices or cutting driver pay — neither of which I assume. But if competition forces sustained incentive spending, 22% is too high, and that is the most likely direction in which my base case is too generous.
Capex vs depreciation vs free cash flow — consistent and unusually clean. Capex of $135M and D&A of $372M in the half [V] — capex is below depreciation, so there is no deferred cost landing in a future P&L. Delivery Hero will add intangible amortisation from 2027, allowed for in the margin path.
Terminal growth vs terminal reinvestment vs terminal ROIC — consistent. 3.0% terminal growth with near-zero capital requirement implies a very high terminal ROIC, which is what Uber already earns (§11).

Note that this forecast does not credit the buyback. Share count is held flat despite a demonstrated 4.2% reduction in eighteen months [V]. Continued repurchase at the current pace is worth roughly $8–10 per share over five years [Est.] that is not in the $105.
Detailed in §22. The current price implies terminal free cash flow of roughly $13.5bn against my $24.9bn, equivalent to a terminal operating margin of 13–14% — today's level, held permanently.

A 6.5% free cash flow yield on a business growing gross bookings at 22% with a four-year margin expansion behind it is the central fact. That yield exceeds the risk-free rate by 220bps, before any growth.
Should Uber trade at a premium or discount? A premium to the market on growth, ROIC and capital intensity; a discount to software on take-rate structure, regulatory exposure and AV uncertainty. Roughly 20–24× normalized owner earnings seems right; it trades at 21.8× — fair rather than cheap on that measure. The cheapness shows up in the cash-flow yield and the DCF, not in the earnings multiple.
Earnings power value (normalized owner earnings of $7.1bn capitalised at 10%, no growth): $71bn = $34 per share. So roughly 55% of the current price is growth — the lowest proportion in this research series, where the figures ranged from 65% (SpaceX) to 94% (Palantir). A meaningful fraction of what you pay for Uber is already being earned.
Sum-of-the-parts — considered and rejected. Mobility and Delivery share the app, the user base and the cross-platform economics that produce 3× bookings and profit [S10]; separating them would destroy the thing that makes the whole work.
Each scenario is a causal chain: trigger → operating mechanism → financial consequence → valuation consequence.
Trigger: Autonomous vehicle operators reach sufficient density in the largest US cities to launch their own consumer apps, and choose to keep the full economics rather than route demand through Uber.
Operating mechanism: Waymo and one or two others build direct demand in San Francisco, Phoenix, Los Angeles and Austin — precisely the dense, high-fare markets where Uber's mobility margins are highest. Uber's AV partnerships continue in secondary cities, but the committed vehicles [S2] concentrate where Uber's demand is not the bottleneck. To defend share, Uber raises consumer incentives, compressing the mobility take rate from ~25% toward 20%. Simultaneously, a driver-classification ruling in a major market converts part of the variable cost base to fixed, and delivery competition of the Brazilian two-wheeler type [S3] spreads to other emerging markets, holding delivery take rates down. Delivery Hero's integration absorbs management attention and its markets prove structurally lower-margin than modelled.
Financial consequence: gross bookings growth decelerates to high single digits by 2029. Operating margin stalls near 12% and then compresses to 10% as incentive spending rises. Free cash flow plateaus near $9–10bn rather than compounding. Buybacks slow as cash funds competitive defence.
Valuation consequence: terminal free cash flow around $10bn, WACC 11.0% on a structurally impaired growth story, terminal growth 2.5%. Intrinsic value: $45 — roughly 40% below today's price, and still a profitable, cash-generative business.
Trigger: The four-year operating leverage trend continues at a decelerating rate, and AVs arrive as a supply source routed through Uber's demand rather than as a competing demand layer.
Operating mechanism: Gross bookings compound in the mid-to-high teens, led by delivery, grocery and international, with mobility in the low teens. Cross-platform penetration rises from 20%, and because those users generate 3× bookings and profit [S10], mix alone lifts margin without any price increase. Fixed corporate costs grow well below volume — the pattern already visible in R&D growing 21% against 63% revenue growth [V]. AV partners deploy the ~120,000 committed vehicles [S2] into Uber's network because an idle fleet earns nothing; Uber takes a rate on those trips with no fleet capital. Delivery Hero closes, adds ~100 markets of coverage [S5], and earns roughly its cost of capital — no more. Buybacks continue at the recent pace.
Financial consequence: revenue $72bn (2027), $92bn (2029), $136bn (2035). Operating margin expands from 14.5% to 22% by 2034. Free cash flow $7.1bn (2026) rising to $24.1bn (2035). Net debt peaks near $18bn post-Delivery Hero and falls thereafter.
Valuation consequence: WACC 10.0%, terminal growth 3.0%, terminal free cash flow $24.9bn. Intrinsic value: $105 — excluding roughly $8–10 per share of buyback accretion not credited in the model.
Trigger: Uber establishes itself as the default global demand layer for autonomous mobility, and the economics prove better than human-driven ride-hailing.
Operating mechanism: The 120,000 committed vehicles [S2] are the leading edge; AV operators conclude that building consumer demand city by city is harder and more expensive than paying Uber a take rate, exactly as airlines concluded about distribution. Because an AV has no driver to pay, the economics per trip shift: Uber's take rate on an autonomous trip can be materially higher than 25% while still leaving the fleet operator a better return than a human driver earns, since the operator captures the driver's former share. Utilisation of mid-20s to low-30s trips per vehicle per day [S3] rises as routing improves, and Uber's matching advantage becomes more valuable, not less, because idle fleet capital is expensive in a way an idle driver is not. Meanwhile cross-platform penetration rises from 20% toward 40%, delivery advertising scales as a high-margin attach, and Delivery Hero's ~100 markets [S5] give the cross-platform mechanism a far larger base.
Financial consequence: gross bookings compound at high-teens through 2031. Operating margin reaches 26% by 2033 as the AV take rate exceeds the human-driver take rate and corporate costs stay fixed. Free cash flow exceeds $35bn by 2035. The share count falls faster as buybacks compound against rising cash flow.
Valuation consequence: WACC 9.5% as the AV overhang resolves and duration risk falls, terminal growth 3.25%. Intrinsic value: $160 — above the 52-week high of $101.99 [S6] and roughly double today's price.

These sum to 1.00 and I am satisfied they should. Unlike the SpaceX record in this series, where an unvaluable tail justified leaving probability unassigned, Uber's outcome space is well spanned: the AV transition helps, hurts, or roughly nets out, and each branch has a modelled financial consequence.
Versus $75.26, the weighted value implies +41.5%.
Note the shape, which is different from the rest of this series. The three cases are relatively evenly weighted and the bear case is not catastrophic — $45 still describes a profitable business generating $9–10bn of free cash flow. In the preceding five reports the bear cases involved losing 60–80% of capital. Here it is 40%, and the base and bull together carry 75% of the probability at values 40% and 113% above the price.
Sensitivity of the conclusion: if you believe the bear case is 45% likely rather than 25%, the weighted value falls to roughly $92 — still 22% above the current price. The stance is robust to a substantial worsening of the AV assumption, which is the most useful thing I can say about it.
Marketplace economics with 0.5% capital intensity [V], 38.4% ROE [S6], negative working capital and $10bn of free cash flow [S2]. Marked down from 8 because switching costs are near zero, the take rate faces permanent political scrutiny, demand is discretionary, and the business has never been tested through a consumer recession as a profitable company.
Genuine two-sided network effects, but per city rather than global — Lyft persists, DoorDash leads US delivery, and Brazilian entrants forced a response [S3]. The cross-platform advantage (3× bookings and profit at 20% penetration [S10]) is the one genuinely global piece. Moderate moat.
An operating turnaround from −$4.86bn to +$5.56bn of operating income in five years [V], a 4.2% share count reduction at prices management calls dislocated [V][S10], and a clean single-class governance structure. Marked down for two guidance-driven selloffs in six months and the unproven $14.8bn Delivery Hero bet.
Net debt ~$3.6bn against $10bn of annual free cash flow; zero short-term debt [V]; ~0.35× leverage. Marked down for the Delivery Hero commitment consuming most of the flexibility, and for unverified debt maturities.
22% gross bookings growth, four consecutive quarters above 20% [S2], Grocery & Retail at $15bn annualised growing 40% [S2], and cross-platform penetration at only 20%.
6.5% free cash flow yield [S7], 55% of the price supported by current earnings power, and a market implying a four-year margin trend stops today.
Bear −40%, base +40%, bull +113%, with the bear case losing only 2.6% a year over five years. The first genuinely favourable asymmetry in this series.
1. Is this a good business? Yes — a good one that has become materially better. ROIC has gone from 6.1% to 18.9% in four years [Est. from V], crossing its cost of capital in 2025. It is not exceptional: low switching costs, regulatory exposure and discretionary demand keep it out of the top tier.
2. Stronger or weaker? Decisively stronger, on every verified measure, in every period since 2022. Operating margin, free cash flow, ROIC and share count have all moved favourably four years running.
3. Durable competitive advantage? Yes — moderate. Local network effects plus a genuinely global cross-platform advantage. Not wide, because network effects are per-city and consumers multi-home freely.
4. Three most important value drivers? (i) Terminal operating margin; (ii) the autonomous vehicle transition — aggregator or disintermediated; (iii) gross bookings growth durability.

6. Most important dependency? Driver and courier supply today — 10.2 million people earning $25bn in a single quarter [S2] — becoming autonomous fleet operators tomorrow. Supplier concentration in this industry is about to change by orders of magnitude, and that is the structural story.
7. What is the market pricing in? A terminal operating margin of roughly 13–14% — today's level, held permanently — and terminal free cash flow of about $13.5bn against my $24.9bn. In effect, that Uber keeps growing but stops improving.
8. Where could the market be wrong? On extrapolating a stop where four years of verified data show a trend [V]. And on treating AV as a threat when 120,000 committed vehicles [S2] currently point the other way — though commitments are not equilibria.
9. Fair intrinsic value? $105 base case; $106.50 probability-weighted; an honest range of $45 to $160.
10. Margin of safety today? Roughly 28% to the base case and 29% to the weighted value. More usefully: a 14% terminal margin gives $68, a 12% WACC gives $72, and a materially negative AV outcome gives $72 — each individually punitive assumption still leaves the stock within 25% of today's price.
11. Reasonable annualized return over 3–5 years? +15.6% weighted. Bear −2.6%, base +17.6%, bull +27.9%. Fundamentals alone contribute roughly +22% a year in the base case, with only 2 points of assumed multiple compression against it.
12. Single development that would most strengthen the thesis? Non-GAAP operating income exceeding 4.5% of gross bookings for two consecutive quarters — direct evidence that margin expansion continues past the level the market has priced as terminal.
13. Single development that would most invalidate it? A major AV operator launching a consumer-facing ride-hailing app at scale in three or more of Uber's top-ten cities. That is the disintermediation scenario and the only path to a large permanent loss.
14. At what price does it become clearly attractive? It already is, at $75.26. I set the threshold at $85 — still a 19% discount to base case — because that is the level below which the margin of safety remains adequate even if my terminal margin assumption is two points too high.
15. What price implies excessive optimism? $160 — the bull case, requiring Uber to become the default global demand layer for autonomous mobility at a take rate above today's.
Uber is a good and rapidly improving asset-light marketplace compounder whose economics are primarily driven by terminal operating margin, the outcome of the autonomous vehicle transition, and the durability of gross bookings growth. Its principal competitive advantage is a combination of per-city two-sided network effects and a genuinely global cross-platform position — mobility and delivery in one app, where cross-platform users generate three times the gross bookings and profits at only 20% penetration — evidenced by 22% gross bookings growth to $58bn in the quarter, operating margin expanding in every year since 2022 to 13.9%, ROIC rising from 6.1% to 18.9% in four years, and capital expenditure of 0.5% of revenue. Its most important vulnerabilities are near-zero consumer switching costs, permanent regulatory exposure to driver classification and pay in every market it operates, a demand base that is discretionary and has never been tested through a recession while the company was profitable, and a supplier base about to concentrate from ten million individual drivers into a handful of autonomous fleet operators. Under the base case, mid-teens gross bookings growth with operating margin expanding from 14.5% toward 22% by 2034 and free cash flow reaching $24bn implies intrinsic value of approximately $105 per share versus a market price of $75.26. The investment therefore depends primarily on whether the four-year margin expansion continues, since the current price implies a terminal margin of 13 to 14 percent — essentially today's level held permanently — and on whether autonomous vehicles route through Uber's demand rather than around it. The most important evidence to monitor is non-GAAP operating income as a percentage of gross bookings, gross bookings growth in constant currency, autonomous vehicles committed to the network versus operators launching their own consumer applications, and the diluted share count.
Most of the above are readable in the Q2 2026 Form 10-Q, the FY2025 Form 10-K and the 2026 proxy. This report should be re-run against those documents before any capital is committed, and re-run again after Q3 2026 results on approximately October 29 [S7], which will test the guidance against a World-Cup-inflated prior-year comparison.
The terminal operating margin of 22% is the weakest link and carries the conclusion; it is above anything Uber has demonstrated, since the current figure is 13.9%, and a 14% assumption would take the base case to $68 and flip the stance. The autonomous vehicle equilibrium is the widest driver, structurally binary, with no base rate: the approximately 120,000 vehicles committed to the network evidence intent rather than the eventual industry structure. Also unresolved: stock-based compensation, explicitly not stored by the platform, where the roughly $1.9-2.0bn annual figure used here is derived from the adjusted EBITDA bridge; Delivery Hero's financials, since a $14.8bn acquisition was modelled as value-neutral without sight of a single statement; equity investment carrying and market values, credited at $8bn and worth roughly $4 per share of error either way, which also dominate GAAP net income since FY2024 net income was 3.5 times operating income and FY2025 was 1.8 times; insurance reserves and cost trend, the largest variable cost inside Mobility; the debt maturity schedule and fixed/floating split; segment operating income, which would materially sharpen the AV analysis; advertising revenue, not disclosed though peers report it; cohort retention and churn; executive compensation; and competitor financials on a comparable basis. Note also that FY2022 revenue growth of 83% is substantially a UK gross-basis accounting reclassification rather than economics, so the honest revenue CAGR is the FY2022-FY2025 figure of 17.7%.
